In this case, we will explore the process of presenting a sell-side mandate for a company. Your task will be to evaluate the mandate, assess its potential, and strategize a Non-Binding Offer (NBO) based on your assigned buyer profile. To support your analysis, you will receive a data booklet containing essential information, including a teaser about the target company, Marktlink data for valuation, and details on the market dynamics.
The class will be divided into four groups, each representing a different type of buyer:
- Strategic Buyer
- Private Equity (PE) as a platform company
- Private Equity (PE) as an add-on company
- Private Equity (PE) as a minority investor
Each group will use the provided data and their assigned buyer perspective to craft a compelling bid for the company. The exercise aims to provide practical insights into valuation, buyer strategies, and the dynamics of mergers and acquisitions. Prepare to analyze, negotiate, and present your case!
